Terms of Service

    Last updated: May 5, 2026

    1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Tellime ("Tellime," "we," "us," or "our"), operated by [LEGAL_ENTITY_NAME], an Ohio limited liability company, governing your use of tellime.com and the tools and features we make available through it (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you must have your parent's or legal guardian's permission to use the Services.

    2. Description of Service

Tellime offers a collection of free online utilities — including calculators, converters, generators, text tools, and timers — accessible through any modern web browser. Some Services are available without an account; others may require you to create one. We provide the Services on an "as is" and "as available" basis. We may add, change, suspend, or discontinue any part of the Services at any time without notice.

    3. User Responsibilities and Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

    • Violate any applicable law or regulation
    • Infringe the intellectual-property, privacy, or other rights of any third party
    • Upload, submit, or transmit any content that is unlawful, defamatory, harassing, hateful, fraudulent, sexually explicit involving minors, or otherwise objectionable
    • Use the Services to send spam, malware, or other harmful content
    • Attempt to gain unauthorized access to the Services, other users' accounts, or any related systems or networks
    • Interfere with or disrupt the Services, including by overloading, flooding, or sending excessive automated requests (rate limits apply; abusive traffic may be blocked)
    • Use the Services in connection with high-risk activities where failure or inaccuracy could result in death, personal injury, property damage, financial loss, or environmental harm (see Section 5)
    • Scrape, copy, or harvest content or data from the Services except through publicly documented APIs or as permitted by our robots.txt
    • Reverse engineer, decompile, or attempt to derive the source code of any part of the Services, except where this restriction is prohibited by applicable law
    • Resell, sublicense, or commercially exploit the Services without our written permission

We may investigate and respond to violations of these Terms at our discretion, including by removing content, suspending or terminating accounts, and reporting conduct to law enforcement.

    4. Intellectual Property

Our content. The Services — including the Site, source code, design, logos, branding, text, graphics, tools, and original content — are owned by Tellime or our licensors and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

Your content. You retain all rights to data and content you input into our tools or submit to the Services ("User Content"). By submitting User Content that is publicly visible (for example, a tool suggestion or comment), you grant Tellime a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and use that User Content as needed to operate, improve, and promote the Services. This license ends when you remove the User Content, except to the extent we have already shared it with others or are required to retain it by law.

You represent and warrant that you own or have all necessary rights to the User Content you submit, and that it does not violate these Terms.

Feedback. If you send us suggestions or feedback, we may use them without restriction or compensation.

    5. Disclaimers

The Services are provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, accurate, or error-free.

Tools are informational only. Tellime's tools — including calculators related to finance, taxes, loans, mortgages, dates, units, nutrition, health, fitness, statistics, or any other domain — are provided for general informational purposes. They are not professional financial, legal, medical, tax, or other advice. Results may be inaccurate, incomplete, or out of date. You are solely responsible for verifying any result before relying on it, and for consulting a qualified professional for advice specific to your situation. Tellime makes no representations or warranties about the accuracy, completeness, or suitability of any tool output for any purpose.

Currency exchange rates are obtained from third-party data sources and may be delayed or inaccurate. Do not rely on Tellime for actual financial transactions.

The Services are not intended for use in any high-risk environment where failure or inaccuracy could lead to death, personal injury, or significant property or financial damage.

    6. Limitation of Liability

To the fullest extent permitted by law, Tellime, [LEGAL_ENTITY_NAME], and our officers, members, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total cumulative liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amounts you have paid to Tellime in the twelve months preceding the event giving rise to the claim.

The Services are offered free of charge. The above limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

    7. Indemnification

You agree to indemnify, defend, and hold harmless Tellime, [LEGAL_ENTITY_NAME], and our officers, members, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right, including any intellectual-property or privacy right.

    8. Account Terms

Some features may require you to create an account. If you do:

    • You are responsible for keeping your password confidential and for all activity under your account.
    • You agree to provide accurate information and to keep it up to date.
    • You must notify us promptly at [LEGAL_EMAIL] if you suspect unauthorized access to your account.
    • We may suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

You may delete your account at any time through the account settings page or by contacting us at [LEGAL_EMAIL]. Deletion is subject to the data-retention rules described in our Privacy Policy.

    9. Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Services to you would expose us to legal liability or material operational risk. You may stop using the Services at any time.

Sections that by their nature should survive termination — including Sections 4 (Intellectual Property), 5 (Disclaimers), 6 (Limitation of Liability), 7 (Indemnification), 11 (Governing Law and Dispute Resolution), and 13 (Miscellaneous) — will survive termination.

    10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If the changes are material, we will provide additional notice (for example, by posting a notice on the Site or, where you have an account, by email). Your continued use of the Services after the updated Terms become effective constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Services.

    11. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Venue. You agree that any claim or dispute that is not resolved informally or, where applicable, through arbitration, will be brought exclusively in the state or federal courts located in the State of Ohio, USA, and you consent to the personal jurisdiction of those courts.

Informal resolution. Before filing any claim, you agree to try to resolve the dispute informally by contacting us at [LEGAL_EMAIL]. We will try to resolve the dispute by contacting you at the email address associated with your account or that you provide. If a dispute is not resolved within sixty (60) days of submission, either party may bring a formal proceeding.

Class-action waiver. To the extent permitted by law, you and Tellime each agree that any dispute will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

Time limit. Any claim arising out of or related to the Services must be filed within one (1) year after the cause of action arose; otherwise it is permanently barred, except where a longer period is required by applicable law.

    12. Contact Information

Questions about these Terms should be sent to:

    Email: [LEGAL_EMAIL]

Mailing address: available on request to the email above.

    13. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced in them, are the entire agreement between you and Tellime regarding the Services and supersede any prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be replaced with a valid provision that comes closest to expressing the intent of the original.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of assets.

No agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship.
